Organizational Models 231

LEGALITY, TRANSPARENCY AND ACCURACY

The governance system that oversees the companies operating in the Amadori supply chain aims to ensure legality, transparency and accuracy in all its business activities. This system results from a process started in 2013 to comply with Italian Legislative Decree 231/2001 (Decree 231) on the 'administrative liability of legal entities, companies and associations'.

AT AMADORI, DECREE 231 HAS BECOME AN INTEGRAL PART OF THE CORPORATE SOCIAL RESPONSIBILITY SYSTEM

Many companies in the Amadori system have gradually joined this path, implementing the control system under the aegis of their Supervisory Bodies, and consider it an essential tool for protecting the company, employees and contractors. At Amadori, Decree 231 has become an integral part of the Corporate Social Responsibility System. The presence of a governance system pursuant to this Decree enables the creation of a structured system of control procedures and activities to support management at various levels in preventing crime, for example in anti-corruption, anti-competitive behaviour, occupational health and safety, or the environment.

The cornerstone of the Organisation, Management and Control Model for the companies of the Amadori system, pursuant to Legislative Decree no. 231/2001, is the Code of Ethics. It is the charter of values and inspiring principles upon which the company bases its activities. It defines the ethical-social responsibility of each participant in the corporate organisation. The Code of Ethics aims to establish a cultural and regulatory climate which - besides discouraging conduct that could lead to crime - ensures that the company is perceived and valued as a guarantee of moral and social responsibility. The Code of Ethics also seeks to place the Model within the sphere of Corporate Social Responsibility, including moral and operational rules of conduct that lead to performing the company's activities in a way that explicitly protects social and environmental aspects.

To date, the companies operating in the Amadori supply chain that have adopted their own Organisation, Management and Control Model pursuant to Italian Legislative Decree no. 231/2001 are: Amadori S.p.A., Alimentare Amadori S.p.A., Agricola Amadori S.p.A., GESCO s.c.a., AVI.COOP s.c.a., ALL.COOP s.c.a., RIPRO-COOP s.c.a., Società Agricola Santamaria S.r.l., Società Agricola Teramana S.p.A., AVIPUGLIA s.c.a. and Società Agricola Mantovana S.r.l.
